Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Sellufy ("we", "us", or "our"). By using our services, you agree to these Terms. Effective Date: 2026-08-11.

Acceptance of Terms

You accept these Terms by:

  • creating an account or being invited into an existing organization
  • using the service, including our web dashboard and APIs
  • subscribing to a paid plan or starting a trial
  • uploading, importing, or publishing content through the service

Eligibility

You must be at least 18 years old to use our services. By using the services, you represent that you meet this age requirement.

Accounts

  • Registration is required to access certain features of our services.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • We reserve the right to terminate or suspend accounts at our discretion.

Prohibited Uses

You may not use our services for the following purposes:

  • Violating any applicable laws or regulations
  • Infringing the intellectual property, trademark, or publicity rights of others, including uploading product images, copy, or brand assets you do not have the right to use
  • Uploading or distributing malware, viruses, or other harmful code
  • Transmitting spam, unsolicited marketing, or other malicious content
  • Attempting to gain unauthorised access to the service, to other users' accounts or organizations, or to our underlying infrastructure
  • Reverse engineering, decompiling, or otherwise attempting to derive the source code of the service, except to the extent this restriction is prohibited by law
  • Scraping, crawling, or using automated means to extract data from the service outside our documented APIs
  • Circumventing plan limits, usage quotas, rate limits, or billing controls
  • Reselling, sublicensing, or offering the service to third parties as a standalone product without our written permission
  • Using our AI features to generate unlawful, deceptive, or knowingly false product information
  • Using our AI features to generate sexual, pornographic, nude, suggestive, or otherwise NSFW imagery or text, or to prompt for such content in any form
  • Using our AI features to generate violent, graphic, hateful, harassing, self-harm, or extremist content, or content that sexualises or endangers minors
  • Using our AI features to generate deepfakes, face swaps, or any depiction of a real, identifiable person, or to imitate a real individual's likeness or voice
  • Attempting to bypass, disable, or evade the content moderation applied to our AI features, including through prompt injection, obfuscated wording, or repeated rephrasing of a blocked prompt
  • Interfering with or disrupting the integrity, security, or performance of the service
  • Storing or processing sensitive personal data - such as health records, government identification numbers, or financial account credentials - which the service is not designed to handle
  • Any use prohibited by our Acceptable Use Policy at https://sellufy.com/acceptable-use, which forms part of these Terms and sets out in full what may and may not be generated with our AI features

User Content

  • You retain ownership of content you submit to our services.
  • You retain all rights in the product data, images, documents, and other materials you upload ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, back up, reproduce, adapt, transmit, and display Your Content solely so that we can operate and provide the service to you - including generating image derivatives and thumbnails, indexing content for search, publishing it to the sales channels you connect, and processing it through AI features you choose to use. This licence exists only for the purpose of running the service on your behalf, and it ends when you delete the relevant content or close your account.
  • We reserve the right to remove content that violates these Terms or that we find objectionable.

Intellectual Property

  • All content, features, and functionality of our services are owned by Sellufy and are protected by intellectual property laws.
  • You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

Payments

  • Some features of our services require payment.
  • Paid plans are billed in advance on a monthly or annual basis and remain active until the end of the period you have paid for. You may request a self-service refund within 7 days of a payment, limited to one refund per account per year. Refunds cover the full amount collected for that payment and are not prorated for usage. Requests made outside this window can be raised with support and are considered case by case.
  • We may change our prices from time to time. We will give at least 30 days' notice before a change affects your subscription, and the new price applies from your next renewal date. If you do not agree to the new price, you may cancel before that date.

Service Availability

  • We do not guarantee uninterrupted or error-free access to our services.
  • The service is currently offered in beta. Features may change, be added, or be withdrawn, and we may carry out maintenance or deploy updates that briefly interrupt access. We aim to schedule planned maintenance outside peak hours and to give advance notice of extended downtime where practical.

Termination

  • We may terminate or suspend your access to our services at any time, with or without cause or notice.
  • You may terminate your use of our services at any time.
  • When your account is closed or suspended, your right to access the service stops immediately. You can export your catalog data and digital assets at any time while your account is active, and we recommend doing so before you cancel. After closure, your data is deleted in line with the retention periods set out in our Privacy Policy, except where we are required to keep records for legal, tax, or accounting purposes. Fees already paid are non-refundable except as described in the Payments section above.

Disclaimers

  • Our services are provided on an "as is" and "as available" basis.
  • We make no warranties, express or implied, regarding the reliability, accuracy, or fitness for a particular purpose of our services.

Limitation of Liability

  • To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages.
  • To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of the service will not exceed the total amount you paid us in the twelve months immediately preceding the event giving rise to the claim. You remain responsible for maintaining your own backups of content that is important to you.

Indemnification

You agree to indemnify and hold harmless Sellufy and its officers, directors, employees, and agents from any claims, damages, liabilities, and reasonable legal costs arising out of your use of the service, the content you upload or publish through it, or your violation of these Terms or of any applicable law or third-party right.

Third-Party Services

Our services may integrate with or link to third-party services:

  • Amazon Web Services - Cloud hosting, database storage, digital asset storage, and background job processing. Your catalog data and uploaded assets are stored on AWS infrastructure.
  • Google Analytics - Aggregated website and product usage analytics, used to understand which pages and features are used and to improve the service.
  • Creem - Payment gateway and subscription billing. Creem processes your card details directly; we never receive or store your full card number. Creem also provides the moderation service that screens every image generation prompt before it reaches an AI model - prompts that are denied or flagged are blocked and no image is generated.
  • Google - Sign-in authentication (Google OAuth) and AI-based product content and image generation (Gemini). Sellufy does not train, host, or own any AI model - our AI features are an interface built on top of Google's third-party Gemini models, and content you submit to an AI feature is sent to Google for processing and returned to you. Sellufy is an independent product and is not affiliated with, endorsed by, or sponsored by Google.

Governing Law

These Terms are governed by the laws of Metro Manila, Philippines, without regard to conflict of law principles.

Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice via email or prominent notice on our website before changes take effect. Continued use of our services after changes constitutes acceptance of the revised Terms.
